Terms of Service

These Terms of Service ("Terms") govern your access to and use of the services provided by Omni.io Pte. Ltd. ("Omni.io", "we", "us"). By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.
1. Services
Omni.io provides AI-powered voicebot, chatbot, workflow automation, and analytics services ("Services") to business customers ("Customers"). The specific services, pricing, and service levels applicable to you are set out in your Order Form or service agreement with Omni.io.
2. Account registration
To use our Services, you must create an account and provide accurate, complete information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorised use of your account.
3. Acceptable use
You agree not to use our Services to:
- Violate any applicable laws or regulations, including Singapore's PDPA
- Send unsolicited communications (spam) to end users
- Infringe the intellectual property rights of any third party
- Transmit malicious code, viruses, or other harmful content
- Attempt to gain unauthorised access to our systems or other customers' data
- Use the Services for any unlawful, deceptive, or fraudulent purpose
4. Fees and payment
Fees are charged on a usage basis as set out in your Order Form. Invoices are issued monthly and payable within 14 days. We reserve the right to suspend access to the Services if fees remain unpaid after 30 days. Prices are exclusive of GST unless stated otherwise.
5. Data and privacy
You grant Omni.io a limited licence to process your data solely to provide the Services. We act as a data processor for customer data and comply with the PDPA. Our data handling practices are described in our Privacy Policy. You are responsible for ensuring you have all necessary rights and consents to share personal data with us.
6. Intellectual property
Omni.io retains all intellectual property rights in our platform, models, and technology. You retain ownership of your data and any content you provide. We may use aggregated, anonymised data to improve our Services, provided it cannot be used to identify you or your customers.
7. Confidentiality
Each party agrees to keep the other's confidential information (including pricing, technical specifications, and customer data) strictly confidential and not to disclose it to third parties without prior written consent, except as required by law.
8. Service levels and availability
We aim to provide 99.9% uptime for our Services. Planned maintenance will be communicated in advance. We will not be liable for downtime caused by factors outside our reasonable control, including third-party infrastructure failures.
9. Limitation of liability
To the maximum extent permitted by law, Omni.io's total liability to you for any claims arising out of or relating to these Terms or the Services shall not exceed the fees paid by you in the 12 months preceding the claim. We shall not be liable for indirect, incidental, special, or consequential damages.
10. Termination
Either party may terminate the agreement with 30 days' written notice. We may terminate immediately if you breach these Terms or if required by law. Upon termination, we will provide a data export for 30 days before permanently deleting your data.
11. Governing law
These Terms are governed by the laws of Singapore. Any disputes shall be resolved by the courts of Singapore. The parties agree to attempt mediation before commencing litigation.
